Commercial law:

Commercial law is a sub-branch of law that encompasses all trade-related legislation. It regulates commercial relations and rights of parties between businesses, traders, individuals.

In our country, the provisions were basically collected in the Turkish Commercial Code No. 6102.

Commercial partnerships are Collective companies, Limited liability companies, Joint stock companies, Commandite companies and Cooperative partnerships. 

There are 6 chapters in the Turkish Commercial Code:

1. Commercial Enterprise Law,

2. Company Law

3. Negotiable Instruments Law

4. Law of Transport

5. Maritime Commercial Law

6. Insurance Law

Other branches of law related to commercial law are; 1. Competition Law 2. Intellectual Property Law 3. Capital Market Law.

Company Law,

Company Law, on the other hand, is a branch of law within the scope of commercial law, which includes norms on issues such as the establishment, merger, division, transfer, type change, liquidation of commercial companies and examines the legal relations with commercial companies. All transactions of domestic and foreign companies, investors and individuals, including company establishment, mergers and acquisitions, are carried out within this scope.

The commercial companies are, according to Art.124. TCC;

-Collective company,

-Commandite company,

– Joint stock company, 

– Limited liability company,

-Cooperative company,

Companies are basically divided into two as partnerships and capital companies. The Collective company and Ordinary commandite company are referred to as “partnership”, the Joint stock company, Limited liability company and Commandite company whose capital is divided in to sharesare referred to as “capital company. 

Limited liability company and Joint stock company are the most common company types in Turkey.
